1.  DEFINITIONS

"US, WE, OUR" refers to Heathco Software.

"SOFTWARE" is the Heathco Search Engine program.

"LICENSED VERSION" is a version of the retail software that
has been purchased from us.  Included is a license key that
will not expire.

"TRIAL VERSION" is a version of the software that has not 
been purchased and is for trial purposes only.  Included is
a trial license key that will expire after a specific 
period from the date of its generation.

"LICENSE AGREEMENT" is this document itself.

2.  LICENSE GRANT

    a) TRIAL VERSION
       You can install and evaluate the software for the 
       time period defined by the trial version.  After 
       this period, your license key will expire and you 
       must purchase the licensed version of the software 
       to continue using it.  You may not use a trial 
       version after this period of time.  You may 
       purchase the licensed version from us or from an 
       authorized reseller.

    b) LICENSED VERSION
       You can install and use the licensed version on one
       company web site. You may only install the software
       under one single domain name.  You may install more 
       than one copy on different locations of the web 
       site.  You will be given a license key that will 
       allow the software to operate without expiring.

       If you wish to install and use the software on other
       domain names and/or for other companies, you must 
       purchase one additional license version for each 
       entity.

3.  DISTRIBUTION OF SOFTWARE

    You may not distribute the software in whole or in 
    part.  You may, however, make a copy of the software
    strictly for backup purposes.  Distribution and 
    redistribution is not permitted in any form.

4.  RESTRICTIONS OF SOFTWARE

    You may not lend or lease this software in any form.
    You may transfer your rights to the licensed version 
    of the software permanently so long as the recipient 
    agrees to the terms of this license agreement.

5.  WARRANTY INFORMATION

    The software is provided "as is" and without any 
    warranty of any kind, either expressed or implied, 
    including but not limited to merchantability  or 
    fitness for a specific purpose.  You agree that the 
    use of this software is at your own risk.  We will
    not be held responsible or liable for data loss, 
    damage, loss of profits or any other loss resulting
    from the use or misuse of the software.

6.  COPYRIGHT INFORMATION

    This software is protected by copyright laws.  None of
    the intellectual property in the software is 
    transferred to you.  You acknowledge that full 
    ownership and rights remain the property of us.

7.  UPGRADES AND SUPPORT

    Upgrades and support for the software will be given at 
    no charge for a period of 12 months.  After this 
    period, you may renew your upgrade and support 
    membership for the fee listed on our web site, in 
    which case  you will receive an addition 12 months of
    upgrades and support.

This license agreement must be accepted before the use of 
this software.  The terms take effect once you accept the
agreement and may only be terminated by you or us. We 
reserve the right to terminate your license to use the
software at any time if we deem that you are not abiding
by the terms in this license agreement. You may terminate
the agreement at any time by removing all files for this 
software and any files it has created during its use.
